Natural Resources & Energy

Our attorneys based in Colorado and Wyoming have a long history of working with clients in the Energy & Natural Resource industry. We counsel clients operating in the utilities, oil and gas, mining, and renewable energy industries; and have significant experience in the areas of law most impacting energy clients, such as business transactions, regulatory requirements, environmental liability, and public land law.

Oil & Gas

We work with many clients involved in oil and gas exploration, production, and transmission; and our attorneys facilitate oil- and gas-related transactions, including the acquisition and sale of oil and gas properties. We also have extensive experience in the preparation of acquisition, drilling, division order, and financing title opinions. Our attorneys advise clients on various aspects of acquiring and developing oil and gas properties, including the negotiation and preparation of purchase and sale agreements, operating agreements, farm-out agreements, oil and gas financing documents, title work and due diligence, and federal and state oil and gas leasing transactions.

Our attorneys represent clients before various administrative agencies, including the Colorado Oil and Gas Conservation Commission, the Bureau of Land Management (BLM), Mineral Management Services (MMS), and various local government agencies, county commissions, county planning departments, and town councils.

Our attorneys are experienced in litigation and resolution of disputes involving property rights, drilling, environmental issues, division orders and royalty payments, measurement, and transportation. The firm's attorneys have advised and assisted numerous oil and gas companies with title curative issues, including quiet title problems and ownership disputes, the resolution of claims for unpaid expenses, the filing of mechanic's and material men's liens, and have mediated a number of class actions relating to oil and gas royalty and reporting claims. The firm's impressive track record and extensive experience in business litigation is a fitting complement to its natural resources and energy practice.

Utilities

Our attorneys draft and negotiate various energy related agreements, including power purchase agreements; dependable capacity and conversion services agreements; engineering, procurement and construction agreements; operation and maintenance agreements; interconnection agreements; and fuel supply agreements. We also advise our clients in connection with the development and financing of electric generating plants and other energy-related projects; and on the state and federal energy regulatory implications for mergers and acquisitions and other corporate transactions. In addition, we have drafted requests and applications to energy regulatory agencies, including applications to the Federal Energy Regulatory Commission requesting "qualifying facility" status and "exempt wholesale generator" status for electric generating plants.
